About the role:

The Contract Specialist is a member of the Licensing Control group, Springer Nature’s contract management department, which ensures compliance of license agreements with internal standards and policies. The Contract Specialist is responsible for the consistent management of contracts, including contract management process, with a focus on review of license agreements and other documents against company standards (legal and commercial), and negotiations of such documents with customers.

Responsibilities:

• Review and revision of draft license agreements and additional documentation (e.g. NDA, Tender document etc.) against internal guidelines and policies (e.g. standard license agreement template, commercial policies, general accuracy of draft with respect to content listings, contract values, calculation of discounts etc.)
• Provide sound legal advice with clear explanation to Sales/Account Support team or directly to the customer when appropriate.
• Provide a license training to Sales/ Account Support team.
• Work within an internal CRM system, upload the approved contract properly to the system and communicate your approval/rejection/comment within the system.
• Directly negotiate changes requested by customers with respect to standard license agreement with customers by means of email, telephone calls or online conferencing (Legal Department will provide standard fall back options, and additional support if needed)
• Communicate with Sales/Account support team to understand customer’s request and resolve deviations in internal drafts with internal stakeholders
• Assure accuracy and appropriateness of contract documentation and attachments
• Raise issues as appropriate, and liaise and align with internal stakeholders, such as sales representatives and the Legal Department
• Communicate with external lawyers depending on the situation and the demand of the contract.
• Support the Legal Department by preparing a draft and case and issue summary to facilitate swift resolution
• Interact with other team members and be first point of interaction within LC to address standard questions with respect to contract issues
• Accomplish completeness of documents to meet and exceed audit and compliance requirements
• Ad hoc project work as needed

Qualifications:

• Legal background required. Bachelor / Master’s degree  Â
• At least three-year experience in review, negotiation and revision of contracts, preferably IP license agreements
• Strong command of Microsoft Office, in particular Word, Excel and Outlook
• Preferred: Good command of Chinese language, ability to communicate in main result areas in Chinese languages
